RAXLES

TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale ("Terms") apply to all products sold by Raxles ("Raxles," "we," "us," or "our"), including purchases made through raxles.com, by telephone, email, invoice, quotation, or other means.

By placing an order with Raxles, accepting delivery of a Raxles product, or authorizing Raxles to begin manufacturing or preparing a product, the purchaser ("Customer," "you," or "your") agrees to these Terms.

1. PRODUCT APPLICATION AND CUSTOMER INFORMATION

Raxles manufactures and supplies remanufactured, rebuilt, modified, and/or specially assembled CV axle assemblies and related driveline components.

  • Many Raxles products are assembled for a specific vehicle application. Accurate vehicle information is therefore critical. Year
  • Make
  • Model
  • Engine
  • Transmission type
  • Drivetrain configuration
  • VIN
  • Vehicle modifications
  • Suspension modifications or lowering
  • Wheel or hub modifications
  • Transmission swaps
  • Engine swaps

Other information affecting axle fitment Raxles may rely upon the information provided by the Customer when selecting, manufacturing, rebuilding, or modifying a product.

Raxles is not responsible for fitment problems, additional labor, shipping expense, vehicle downtime, or other costs resulting from inaccurate, incomplete, or omitted information supplied by the Customer.

2. MODIFIED AND LOWERED VEHICLES

Vehicles that have been lowered, lifted, modified, converted, swapped, raced, or otherwise altered from their original configuration may require components that differ from the original factory application.

The Customer must disclose relevant modifications before ordering.

Recommendations made by Raxles concerning modified vehicles are based upon the information available to Raxles at the time of the order. Because Raxles cannot inspect or control the complete vehicle configuration, Raxles cannot guarantee that a component intended for a modified vehicle will correct problems caused by suspension geometry, drivetrain alignment, engine or transmission movement, improper ride height, worn mounts, collision damage, or other vehicle conditions.

3. VIN AND APPLICATION INFORMATION

A VIN may assist Raxles in identifying the original vehicle configuration, but a VIN does not necessarily identify subsequent modifications, replacement transmissions, drivetrain conversions, suspension changes, hub changes, or other alterations.

Providing a VIN does not relieve the Customer or installer from verifying that the product is appropriate for the actual vehicle configuration.

4. ORDER ACCEPTANCE

All orders are subject to acceptance by Raxles.

Raxles reserves the right to decline or cancel an order if we determine that:

  • adequate application information has not been provided;
  • the requested product cannot reasonably be manufactured or supplied;
  • the vehicle has modifications that prevent Raxles from determining an appropriate configuration;
  • a pricing or product-description error occurred; or
  • fulfillment of the order would create an unreasonable technical, safety, or commercial risk.
  •  If Raxles cancels an order before shipment, amounts paid for the cancelled product will be refunded.

5. PRICES AND PAYMENT

Prices are those quoted or displayed by Raxles at the time the order is accepted and are subject to change without notice before acceptance.

Unless otherwise stated, prices do not include shipping, taxes, duties, customs charges, brokerage fees, or other governmental charges.

Payment is due according to the terms stated on the order, invoice, or quotation.

Raxles may require full payment before beginning production or shipping an order.

6. CUSTOM AND SPECIAL-ORDER PRODUCTS

Because many Raxles products are built, rebuilt, modified, or configured for a particular vehicle or Customer, an order may constitute a custom or special-order product.

Once work has begun on a custom or special-order product, the order may not be cancelled or changed without Raxles' written approval.

Custom or specially configured products are not returnable merely because the Customer changes their mind, no longer needs the product, sells the vehicle, or determines after ordering that the vehicle has a different configuration than originally represented.

This provision does not limit rights available under the Raxles Lifetime Warranty for a qualifying defect.

7. SHIPPING

Shipping dates and delivery estimates are estimates only unless Raxles expressly agrees otherwise in writing.

Raxles is not responsible for delays caused by carriers, weather, customs, supply shortages, incorrect delivery information, force majeure events, or circumstances outside Raxles' reasonable control.

Customers should inspect packages promptly upon delivery.

Visible shipping damage should be documented with photographs and reported to Raxles as soon as reasonably possible. Customers should retain the product, packaging, shipping label, and packing materials while a carrier claim is being investigated.

8. INTERNATIONAL ORDERS

International Customers are responsible for all applicable import duties, tariffs, taxes, customs charges, brokerage fees, and other charges imposed by the destination country unless Raxles expressly agrees otherwise in writing.

The Customer is responsible for determining whether the product may lawfully be imported into and used in the destination jurisdiction.

9. INSPECTION BEFORE INSTALLATION

The Customer and/or installer must inspect the Raxles product before installation.

Before installing the product, the installer should confirm that the axle or component appears appropriate for the vehicle and should compare relevant dimensions, splines, mounting configuration, transmission connection, wheel-hub connection, ABS provisions, and other applicable features with the component being replaced.

If there is any question concerning fitment, installation should STOP and Raxles should be contacted before the vehicle is operated.

Installation or attempted installation of an obviously incorrect component may affect the Customer's eligibility for reimbursement of resulting expenses.

10. PROFESSIONAL INSTALLATION

CV axles are critical drivetrain components.

Raxles recommends installation by a qualified automotive technician using appropriate tools, equipment, procedures, and vehicle-manufacturer specifications.

The installer is responsible for proper installation, including applicable fastener torque, axle seating, retaining devices, suspension assembly, hub and bearing condition, transmission connection, clearances, and inspection of related components.

Raxles is not responsible for damage caused by improper installation, incorrect torque, damaged or worn mating components, improper tools, failure to follow appropriate installation procedures, or continued operation after symptoms of a problem become apparent.

11. RAXLES LIFETIME WARRANTY

Qualifying Raxles products are covered by the Raxles Lifetime Warranty in effect at the time of purchase.

The Lifetime Warranty is incorporated into these Terms by reference.

Unless otherwise expressly stated in the applicable written warranty, the warranty covers qualifying defects in the Raxles product and does not cover damage or failure caused by:

  • abuse or misuse;
  • collision or impact;
  •  improper installation;
  • incorrect vehicle application;
  • undisclosed vehicle modifications;
  • operation outside the intended application;
  • damaged, worn, or defective related vehicle components;
  • racing, competition, or other extraordinary use unless specifically approved for the application by Raxles;
  • unauthorized modification or disassembly of the Raxles product; or
  • other conditions outside the reasonable control of Raxles.

Freight and shipping costs associated with warranty claims are not covered unless Raxles expressly agrees otherwise in writing.

Warranty claims must be submitted to and approved by Raxles before a product is returned.

Raxles may require photographs, vehicle information, installation information, diagnostic information, measurements, the original product, or other information reasonably necessary to evaluate a warranty claim.

12. WARRANTY REMEDY

For a valid warranty claim, Raxles may, at its option and subject to applicable law:

  1. repair the product;
  2. rebuild the product;
  3. replace the product with the same or functionally equivalent product; or
  4. provide another remedy agreed to by Raxles and the Customer.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REPAIR OR REPLACEMENT UNDER THE APPLICABLE RAXLES WRITTEN WARRANTY IS THE CUSTOMER'S EXCLUSIVE REMEDY FOR A COVERED PRODUCT DEFECT.

13. WARRANTY DISCLAIMER

EXCEPT FOR THE EXPRESS RAXLES WRITTEN WARRANTY APPLICABLE TO THE PRODUCT, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAXLES DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY AND ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.

NO ORAL STATEMENT, TECHNICAL DISCUSSION, EMAIL, VEHICLE APPLICATION ASSISTANCE, OR OTHER COMMUNICATION CREATES AN ADDITIONAL WARRANTY UNLESS EXPRESSLY IDENTIFIED AS A WARRANTY IN WRITING BY RAXLES.

SOME LAWS MAY NOT PERMIT CERTAIN WARRANTY EXCLUSIONS OR LIMITATIONS, IN WHICH CASE THOSE EXCLUSIONS OR LIMITATIONS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RAXLES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES ARISING FROM THE PURCHASE, INSTALLATION, FAILURE, REMOVAL, REPLACEMENT, OR USE OF A RAXLES PRODUCT.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOSS OF USE, VEHICLE DOWNTIME, LOST PROFITS, LOST BUSINESS, RENTAL VEHICLE COSTS, TOWING COSTS, STORAGE COSTS, TRAVEL EXPENSES, OR OTHER CONSEQUENTIAL ECONOMIC LOSSES.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any liability for

personal injury where such exclusion or limitation is prohibited by applicable law.

15. LABOR AND OTHER VEHICLE EXPENSES

Unless Raxles expressly agrees otherwise in writing, Raxles does not reimburse labor charges for diagnosis, removal, installation, reinstallation, alignment, towing, storage, rental vehicles, or repairs to unrelated vehicle components.

Customers and installers should contact Raxles before incurring substantial expenses related to a suspected product defect.

16. RETURNS

No product may be returned without prior authorization from Raxles.

Authorized returns must be made according to instructions provided by Raxles.

Products returned without authorization may be refused.

Non-defective products may be subject to a restocking charge and return shipping costs where permitted by law.

Custom, modified, special-order, installed, damaged, or used products may not be eligible for return except as required by law or covered by the applicable Raxles warranty.

17. CORE OR ORIGINAL COMPONENTS

If an order requires the Customer to provide an original axle, core, or other component, the Customer represents that the component supplied is legally owned by the Customer or that the Customer has authority to provide it to Raxles.

Any core charge, core credit, or return requirement will be governed by the terms stated on the applicable order or invoice.

18. TECHNICAL INFORMATION

Dimensions, specifications, photographs, application information, compatibility information, technical recommendations, and other information provided by Raxles are intended to assist Customers in product selection and installation.

Vehicle manufacturers may change components within a model year, and vehicles may have been modified or repaired using components different from their original configuration.

Customers and installers remain responsible for confirming the actual vehicle configuration and compatibility before installation.

19. PRODUCT CHANGES

Raxles may make reasonable changes to materials, components, manufacturing methods, suppliers, dimensions, or designs when such changes do not materially impair the intended function of the product.

Photographs on the Raxles website are representative and may not depict the exact product supplied for every application.

20. INTELLECTUAL PROPERTY

The Raxles name, logos, product information, photographs, graphics, website content, manufacturing information, and other proprietary materials are owned by or licensed to Raxles and may not be copied, reproduced, distributed, or commercially used without authorization.

21. RESALE

Unless otherwise agreed in writing, purchase of a Raxles product does not grant the Customer authority to represent themselves as an authorized Raxles distributor, dealer, representative, agent, or affiliate.

22. FRAUD AND CHARGEBACKS

Customers agree to contact Raxles and provide a reasonable opportunity to address a legitimate product, shipping, or warranty dispute before initiating a payment chargeback where circumstances permit.

Nothing in this provision waives any rights the Customer may have under applicable credit-card or consumer-protection law.

Raxles reserves the right to provide order records, shipping records, communications, warranty records, photographs, and other relevant information to a payment processor or financial institution in response to a chargeback or payment dispute.

23. FORCE MAJEURE

Raxles will not be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, labor disruptions, transportation interruptions, carrier delays, supplier shortages, governmental actions, war, civil disturbance, or similar events.

24. GOVERNING LAW

Except where applicable consumer law requires otherwise, these Terms and any transaction involving Raxles products shall be governed by the laws of the State of Ohio, without regard to conflict-of-law principles.

25. DISPUTES AND VENUE

Except where applicable law requires otherwise, any legal action arising from a transaction with Raxles shall be brought in a court of competent jurisdiction located in Franklin County, Ohio.

Before filing a lawsuit concerning a product or transaction, the parties are encouraged to make a good-faith effort to resolve the dispute directly.

26. CONFLICTING TERMS

These Terms, the applicable Raxles written warranty, and the applicable Raxles order confirmation or invoice constitute the terms applicable to the sale.

Terms contained in a Customer purchase order or other Customer document that conflict with these Terms are rejected unless expressly accepted in writing by an authorized representative of Raxles.

27. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in effect.

28. WAIVER

Failure by Raxles to enforce any provision of these Terms on one occasion does not waive Raxles' right to enforce that provision or any other provision in the future.

29. CHANGES TO THESE TERMS

Raxles may revise these Terms from time to time.

The Terms applicable to a sale are the Terms in effect when the Customer's order is accepted, unless otherwise agreed in writing.

30. ENTIRE AGREEMENT

These Terms, together with the applicable order confirmation, invoice, quotation, and Raxles written warranty, constitute the agreement concerning the sale of the product and supersede prior discussions concerning the terms of that sale, except for any separate written agreement signed by an authorized representative of Raxles.

31. CONTACT

Questions concerning an order, product application, return, or warranty claim should be directed to Raxles through the contact information published on raxles.com.

BY PLACING AN ORDER WITH RAXLES, THE CUSTOMER ACKNOWLEDGES THAT THE CUSTOMER HAS READ, UNDERSTANDS, AND AGREES TO THESE TERMS AND CONDITIONS OF SALE.
